CrowdSpeaker Speaker Terms
Effective Date: [2026-04-22]
These Speaker Terms supplement the CrowdSpeaker Terms of Service and apply to anyone who creates a Broadcast, publishes a Listing, accepts bookings, receives payments, or offers an Experience through CrowdSpeaker.
By acting as a Speaker, you agree to these Speaker Terms and the CrowdSpeaker Terms of Service.
If these Speaker Terms conflict with the general Terms of Service with respect to your obligations as a Speaker, these Speaker Terms control.
1. Independent Provider
You provide your Experiences independently.
You are not an employee, representative, franchisee, joint venturer, partner, or agent of CrowdSpeaker.
You control how you organize and provide your Experiences, subject to applicable law, confirmed bookings, the information you provide to Customers, and CrowdSpeaker's platform requirements.
You may not state or imply that CrowdSpeaker operates, endorses, supervises, certifies, or guarantees your Experience unless CrowdSpeaker has expressly authorized that representation.
2. Accurate Information
Information you provide must be truthful, complete, and reasonably current.
This includes your identity or business information; Experience descriptions; photographs; meeting locations; schedules; duration; capacity; prices; accessibility information; age requirements; physical requirements; included and excluded items; mandatory fees; cancellation terms; and safety information.
You must promptly correct information that becomes inaccurate.
3. Availability
You are responsible for maintaining accurate availability.
Do not accept a booking for an Experience you cannot reasonably provide.
You should promptly block unavailable dates or otherwise update availability when your schedule changes.
4. Confirmed Bookings
You must honor confirmed bookings except where cancellation is reasonably necessary.
Removing a Listing, closing your account, changing subscription plans, or discontinuing future sales does not automatically cancel existing confirmed bookings.
If you cannot fulfill a booking, you must cancel it through CrowdSpeaker as promptly as reasonably possible.
5. Speaker Cancellations and No-Shows
When you cancel a paid Experience, affected Customers will receive refunds in accordance with CrowdSpeaker's Cancellation and Refund Policy.
Unless different timing was clearly disclosed for a particular Experience, you may be considered a no-show if you have not begun the Experience within 15 minutes after the scheduled start time and have not communicated a reasonable delay to affected Customers.
A Speaker no-show or failure to provide a confirmed paid Experience may result in refunds to affected Customers under the Cancellation and Refund Policy.
Repeated cancellations or no-shows may result in warnings, reduced marketplace visibility, temporary restrictions, suspension, or termination.
CrowdSpeaker may consider emergencies and circumstances outside your reasonable control when evaluating cancellation activity.
6. Customer No-Shows and Cancellations
Customer cancellations and no-shows are governed by the cancellation policy applicable to the booking.
You may not impose additional cancellation penalties that were not disclosed before purchase.
7. Prices
You are responsible for the prices you submit unless CrowdSpeaker expressly provides another pricing mechanism.
You must not intentionally advertise a misleading price.
All mandatory, unavoidable charges known to you must be clearly disclosed before purchase.
You may not require a Customer to pay an undisclosed mandatory fee at check-in, at a meeting location, or during an Experience.
8. CrowdSpeaker Fees
CrowdSpeaker may deduct applicable platform fees from transaction proceeds.
Unless otherwise disclosed, the CrowdSpeaker platform fee for paid Experience transactions is 5%.
Payment-processing fees or other Stripe charges may also apply.
Your dashboard or applicable transaction documentation may show fees associated with a transaction.
9. Stripe and Payment Accounts
CrowdSpeaker uses Stripe or another payment provider to support payment functionality.
You may be required to establish or maintain a connected payment account and provide requested identity, business, banking, tax, or verification information.
Your use of Stripe services is subject to applicable Stripe agreements.
You authorize CrowdSpeaker and its payment provider to process transactions, fees, refunds, adjustments, transfers, and other permitted payment activity associated with your use of CrowdSpeaker.
Failure to maintain required payment verification may delay or prevent transfers.
10. Payout Timing
CrowdSpeaker does not guarantee a particular bank settlement time.
For a paid Experience, eligible net proceeds, after applicable platform and processing fees, become eligible for release no earlier than 26 hours after the scheduled end time of the Experience.
Eligibility for release does not guarantee that a transfer will be initiated or received at exactly that time. A payout may remain held or be delayed while a refund request, payment dispute, chargeback, fraud review, verification requirement, reserve, regulatory requirement, payment-provider requirement, or other applicable hold remains pending.
CrowdSpeaker may withhold, delay, recover, reverse, or offset amounts when permitted by the CrowdSpeaker Terms of Service, these Speaker Terms, the Cancellation and Refund Policy, payment-provider rules, or applicable law.
Actual receipt of funds depends on Stripe or another payment provider, banking networks, account status, verification, weekends, holidays, and other processing conditions.
11. Refunds and Customer Resolution Process
You authorize CrowdSpeaker to issue refunds where required by the applicable cancellation policy, the CrowdSpeaker Terms of Service, these Speaker Terms, the Cancellation and Refund Policy, applicable law, or circumstances that qualify for a refund under CrowdSpeaker's published policies.
Examples may include your cancellation, your failure to provide the Experience, a Speaker no-show, fraudulent Listings, duplicate transactions, undisclosed mandatory charges, material inaccuracies in a Listing, or a qualifying CrowdSpeaker platform failure.
For supported booking problems, CrowdSpeaker may provide a Customer-Speaker resolution process. You may be asked to respond to a Customer request by offering a full refund, offering an available partial refund, or declining the request with an explanation.
If the Customer rejects your initial response, CrowdSpeaker may allow you to provide one final response or revised refund offer. If the Customer rejects the final response, the Customer may request CrowdSpeaker review.
CrowdSpeaker's review is limited to determining the platform-administered transaction remedy, if any, such as a full refund, partial refund, credit, or no refund. CrowdSpeaker does not adjudicate legal liability between you and the Customer or determine claims for personal injury, property damage, negligence, criminal conduct, or other damages arising from the physical Experience.
CrowdSpeaker's determination is final for CrowdSpeaker's internal refund process, subject to applicable law and external payment-card or financial-institution rights.
Where permitted, amounts owed because of refunds, credits, disputes, reversals, or chargebacks may be deducted from future amounts otherwise payable to you or otherwise recovered as permitted by the applicable agreements, payment-provider rules, and law.
12. Chargebacks and External Payment Disputes
Customers may dispute card transactions through their financial institutions.
You agree to reasonably cooperate with requests for information necessary to respond to a payment dispute.
If CrowdSpeaker receives notice that a Customer has initiated a chargeback or other external payment dispute concerning the same transaction as an open internal refund request, CrowdSpeaker may suspend or close the internal refund process while the external dispute is pending to reduce the risk of duplicate recovery or inconsistent payment actions.
CrowdSpeaker does not guarantee that any external payment dispute will be resolved in your favor.
Applicable payment-provider charges, reversals, losses, or fees may be allocated according to CrowdSpeaker's payment configuration, the CrowdSpeaker Terms of Service, these Speaker Terms, the Cancellation and Refund Policy, applicable payment-provider rules, and applicable law.
13. Taxes
You are responsible for understanding and satisfying tax obligations associated with your activities and income.
CrowdSpeaker or its payment provider may request taxpayer information, issue tax documentation, withhold amounts, or report information when legally required.
Where applicable law requires CrowdSpeaker or another marketplace participant to collect and remit a tax, CrowdSpeaker may do so.
14. Laws and Regulations
You are responsible for complying with laws and regulations applicable to your Experience.
Depending on your activities and location, these may include requirements concerning tour operations, transportation, business licensing, permits, parks or public property, occupancy, accessibility, consumer protection, food service, alcohol, employment, taxation, privacy, recording, intellectual property, and health and safety.
CrowdSpeaker does not provide legal authorization for an activity merely by allowing it to be listed.
15. Insurance
You are responsible for determining what insurance is legally required or reasonably appropriate for your activities.
CrowdSpeaker may require proof of liability insurance or other coverage for selected types of Experiences.
CrowdSpeaker may suspend new bookings for an Experience when required insurance documentation is missing, expired, or inadequate.
Existing bookings remain your responsibility unless canceled through CrowdSpeaker.
16. Physical Safety and Conduct of Experiences
You are solely responsible for conducting and managing the physical Experience you offer, including the physical environment, route, venue, participants, transportation, equipment, and activity-specific risks within your control, subject to applicable law.
You must disclose material safety requirements that Customers reasonably need before participating and may establish reasonable participation requirements when relevant to legitimate safety concerns.
You must not knowingly expose Customers to undisclosed unreasonable hazards.
CrowdSpeaker provides communications, booking, and marketplace technology. CrowdSpeaker does not supervise, operate, inspect, certify, or guarantee the physical safety of your Experience and does not assume responsibility for your safety practices or those of Customers or other participants.
CrowdSpeaker's refund-resolution process is not an emergency service and does not determine fault or legal responsibility for personal injury, property damage, negligence, criminal conduct, or other physical-safety incidents.
CrowdSpeaker may restrict or remove a Listing or account when reasonably necessary to enforce platform rules or protect the Service. Such action does not mean CrowdSpeaker has assumed responsibility for supervising the physical Experience or adjudicating liability between participants.
Nothing in these Speaker Terms limits responsibility that cannot legally be limited or rights that cannot lawfully be waived.
17. Meeting Locations
You must provide accurate meeting-location information.
If an Experience requires entry onto private property, restricted property, industrial property, government property, or another controlled location, you are responsible for obtaining any necessary authorization.
CrowdSpeaker's communication technology does not grant access to any physical property.
18. Audio and Recording
You are responsible for Broadcast Content transmitted through your account.
If you activate recording functionality, you are responsible for determining whether notice or consent is required.
You may not knowingly record or distribute protected communications in violation of applicable law.
19. Intellectual Property
You must have sufficient rights to all Content you upload or transmit.
This includes photographs, logos, music, prerecorded audio, written descriptions, maps, graphics, trademarks, presentations, and other protected material.
CrowdSpeaker may remove Content when it reasonably believes the Content infringes third-party rights.
20. Customer Information
Customer information obtained through CrowdSpeaker may be used only for legitimate purposes associated with the applicable Experience, customer service, legal requirements, or another use to which the Customer has lawfully consented.
You may not sell CrowdSpeaker Customer information or use it for unsolicited marketing in violation of applicable law.
You must take reasonable measures to protect personal information you receive.
21. Communications With Customers
Communications with Customers must be accurate, professional, and relevant to the Experience.
You may not use CrowdSpeaker communications to harass Customers, send deceptive messages, solicit unlawful payments, evade CrowdSpeaker fees, distribute malware, or conduct fraudulent transactions.
22. Circumvention
You may not intentionally use CrowdSpeaker to obtain a Customer and then require that Customer to cancel or avoid CrowdSpeaker's payment system for the primary purpose of avoiding fees applicable to a booking initiated through CrowdSpeaker.
This does not prohibit a Speaker from operating an independent business or accepting bookings through other channels.
23. Reviews and Feedback
If CrowdSpeaker provides reviews, ratings, or feedback features, you may not manipulate them through fake transactions, undisclosed incentives, threats, retaliation, fabricated reviews, or coordinated manipulation.
You may respond to legitimate criticism but may not harass a reviewer.
24. Emergencies and Events Outside Your Control
If an emergency or event outside your reasonable control prevents you from safely providing an Experience, notify affected Customers and CrowdSpeaker as soon as reasonably possible.
Examples may include severe weather, natural disasters, government restrictions, public emergencies, transportation shutdowns, major infrastructure failures, or sudden unsafe conditions.
Refund treatment will be determined under the applicable Cancellation and Refund Policy and applicable law.
25. Account Personnel
If you allow employees, contractors, coworkers, family members, or other individuals to operate your CrowdSpeaker account, you remain responsible for activity performed through your account and permissions.
Keep access limited to authorized individuals.
26. Compliance Requests
CrowdSpeaker may request information reasonably necessary to verify identity, business status, licensing, insurance, tax status, payment information, ownership of Content, or compliance with these Speaker Terms and other CrowdSpeaker policies.
A request for information or a platform compliance review does not mean CrowdSpeaker supervises, inspects, certifies, or guarantees the physical safety or legal compliance of an Experience.
Failure to provide reasonably requested information may result in restrictions on Listings, bookings, payments, or account access.
27. Removal and Suspension
CrowdSpeaker may restrict or remove a Listing or Speaker account because of suspected fraud, material inaccuracies, excessive cancellations or no-shows, unresolved Customer complaints, payment disputes, unlawful conduct, missing required documentation, intellectual-property complaints, reports of conduct that may create material risk to users or the Service, or other serious violations of CrowdSpeaker policies.
Where reasonably practical, CrowdSpeaker may provide an opportunity to correct the issue.
Any restriction, removal, or suspension is a platform-enforcement action. It does not constitute a determination of legal liability and does not mean CrowdSpeaker supervises, operates, inspects, certifies, or guarantees the physical Experience.
28. Existing Obligations
Suspension or termination does not automatically eliminate obligations relating to confirmed bookings, refunds, chargebacks, outstanding fees, taxes, Customer claims, or previous violations.
29. Indemnification
Your indemnification obligations under the CrowdSpeaker Terms of Service apply to your activities as a Speaker.
In particular, you are responsible for third-party claims arising from your Experience, Content, employees or contractors, legal compliance, safety practices, intellectual-property infringement, or failure to fulfill your obligations to Customers, except to the extent the claim results from CrowdSpeaker's conduct for which liability cannot legally be transferred.
30. Relationship to General Terms
These Speaker Terms supplement the CrowdSpeaker Terms of Service.
Capitalized terms not defined here have the meanings given in the Terms of Service.
By continuing to publish Listings, host Broadcasts, accept bookings, or receive payments after updated Speaker Terms become effective, you agree to the updated Speaker Terms to the extent permitted by applicable law.
